Why the Appointments Council exists
The Appointments Council exists to support confidence in the Board appointments process. Its purpose is to help ensure Board appointments are made through a structured and merit-based process that considers governance capability, strategic needs, diversity of perspective and the skills required on the Board.
How members participate
Members participate in the Board appointments process in two ways. First, eligible candidates may apply during the Board nomination period. CPA Australia promotes these opportunities through its own channels, including CPA Update and INTHEBLACK, together with selected media outlets and the external executive recruitment firm’s networks and recruitment channels.
Second, members are represented in the process through the Appointments Council itself. CPA Australia has stated that the Appointments Council comprises members elected from Divisional Councils, helping bring member representation into the Board appointments process.
How the Board appointments process works
The Board appointments process is designed to identify candidates with the competencies, skills and attributes needed on the Board. The Nomination Committee supports this work by helping assess Board capability needs, including through tools such as a board skills matrix and succession planning considerations.
To support the process, the Nomination Committee engages an external executive recruitment firm. Applications are assessed and interviews are conducted by the executive recruitment firm and the Nomination Committee, which then presents the Appointments Council with a recommended shortlist of candidates.
The Appointments Council is consulted at each stage of the process. It can provide input on candidates for second-round interviews and may consider any candidate who meets the mandatory requirements. This helps ensure the Council remains actively involved in the appointment process while drawing on independent search support and structured assessment.
What makes the process robust
The Board appointments process includes several features designed to support strong governance. These include external recruitment support, structured assessment and interviews, consideration of Board skills and succession needs, and Appointments Council oversight throughout the process. Together, these elements help support appointments on merit and with regard to the organisation’s strategy, governance needs and membership diversity.
The procedures, deliberations and meetings of the Appointments Council are strictly confidential. This confidentiality supports the integrity of the appointment process and helps protect candidates and the quality of deliberations
