ASX listing rules and corporate governance principles

ASX listing rules

In order to be admitted to the official Australian Stock Exchange (ASX) list, entities must comply with the ASX listing rules.

The rules also govern the quotation of securities, suspension of securities from quotation, removal of entities from the official list, disclosure and some aspects of a listed entity’s conduct.

The listing rules are based on the principles which embrace the interests of listed entities, maintain investor protection and protect the reputation of the market.

ASX corporate governance council principles

The ASX Corporate Governance Council has developed a set of guidelines for corporate governance best practice.

Principles of Good Corporate Governance and Best Practice Recommendations articulates 10 core principles that the council believes underlie good corporate governance.

Each principle is explained in detail and includes implementation recommendations.

Guide to compliance with ASX Principle 7

This document has been prepared to provide general guidance in relation to compliance with ASX Principle 7: 'Recognise and Manage Risk'.

The guide does not specify or adopt a particular model or approach; however, the model of the Committee of Sponsoring
Organisations of the Treadway Commission (COSO model) is used as the basis of the discussion.

The ASX Corporate Governance Council has endorsed the guide for use by listed entities.
