Terms and conditions

Before applying to be included on the CPA Directors Register, applicants should take note of the following terms and conditions.

Disclaimer

CPA Australia in no way endorses those organisations utilising the register. Individuals approached to take up positions must carry out their own due diligence to ensure that a position is in their best interest.

CPA Australia does not guarantee registrants will be matched. Matching takes place based on the criteria identified by the organisation searching for someone to fill a position. There is no favouritism. Matches are solely based on information provided by members.

CPA Australia will not solicit or seek out appointments for registrants.

The CPA Directors Register is maintained by CPA Australia in the sole interest of facilitating a database search for FCPAs.

  1. CPA Australia takes no responsibility for and makes no representations as to the qualifications, capacity and character of the registrants (those on the register) to carry out the role of director, other than requiring that all registrants, provide to CPA Australia a statement/evidence to the effect that they fulfil eligibility criteria to be listed and remain on the register from time to time. 
  2. CPA Australia does not accept responsibility for any form of negligence, recklessness, breach of duty or other misconduct on the part of registrants performing those services. Registrants will be matched solely on the basis of information provided by the registrant and the participating organisation. No responsibility is taken by CPA Australia for the accuracy of information or advice provided by, to or on behalf of registrants, participating organisations, or any other party.
  3. Registrants and participating organisations, utilise the Register at their own risk and without direct supervision or support of CPA Australia. In particular, CPA Australia does not accept responsibility for any form of loss or liability whatsoever incurred by registrants, participating organisations directly or indirectly arising out of or in connection with any matching of applicants, irrespective of whether such loss or liability is the result of any negligence or other default on the part of CPA Australia. CPA Australia cannot and does not guarantee the existence, currency or adequacy of professional indemnity or any other insurance held by the registrants.
  4. Registrants are expected to ensure that their Directors Register information is kept up-to-date.

Insurance

This is the responsibility of the individual and should form part of any due diligence to be performed before joining an organisation. Members should ensure that the organisation holds Directors and Officers insurance (D&O).

Designed to help protect both the assets of the company and the personal assets of the individual, D&O insurance covers those liabilities that may result from an individual or group performing their task(s) as directors or officers. Anyone acting as a director or officer for a legal entity is covered under most policies. This includes positions of chairman, deputy chairman, president or vice president of the board of directors, the managing director, general manager, financial controller, secretary or treasurer and any other person who performs the corporate functions similar to those performed by an officer.
